Atelier Ready terms of service

These terms apply when you use Atelier Ready: Art Listings, the Shopify app (“Atelier Ready”, “the app” or “the service”), operated by Mnemonic Limited (“we”, “us”). By installing or using the app, you agree to these terms on behalf of your business. Shopify’s own terms also apply to your shop and to app billing. Shopify isn’t a party to these terms, and Atelier Ready isn’t made or endorsed by Shopify.

1. The service and operator

Atelier Ready helps merchants organise artwork, prepare listing content and purchase options, and create unpublished product drafts in their Shopify shops. Our workflows currently focus on artwork. Other product types aren’t included until they’re released.

The operator is Mnemonic Limited, a company registered in England and Wales (company number 16333425), trading as Atelier Ready. Address: 128 City Road, London EC1V 2NX, United Kingdom. 2. Business use and your responsibilities

Atelier Ready is for businesses only. By using it, you confirm that you’re acting for the purposes of your trade, business, craft or profession, including as a sole trader, and not as a consumer. You need an eligible Shopify shop and the authority to use it for your business. Keep your shop account secure, and tell us promptly if you suspect unauthorised access.

Provide accurate information and review your listing before publishing, including images, prices, inventory, variants, descriptions, product claims, alt text and intellectual property rights. You are responsible for your products, your listings and your dealings with your customers.

3. Artwork, content and AI

You keep ownership of the artwork and other content you provide. You give us permission to process that content as needed to provide the features you ask for, including hosting working copies, generating previews, obtaining AI suggestions and sending reviewed content to Shopify. This permission ends when your content is deleted. It doesn’t transfer ownership, and it doesn’t let us use your artwork in our advertising.

Only upload material that you own or have permission to use. Don’t use the service for unlawful content, infringement or malware, or to try to bypass account, credit or storage controls.

AI suggestions can be inaccurate or incomplete, or similar to content generated for others. Review them before you use them. We don’t guarantee that they’re original, suitable or legally protected. You can always write and edit listings yourself. The service prepares listings from the images you supply. It doesn’t generate new artwork or product photography.

4. Shopify drafts and publishing

When you choose to create a draft, the app sends your reviewed listing information, supported images and purchase options to Shopify. The draft is unpublished, and you decide when to publish it in Shopify. Check the product there before publishing.

Changes and deletions in Atelier Ready don’t necessarily change copies already sent to Shopify. Manage published products and Shopify media in Shopify.

5. Free trial

An eligible shop can try Atelier Ready for seven consecutive days from the time it starts the trial. The trial includes 10 AI credits in total, up to 3 stored artwork sets and 250 MB of cloud storage, including thumbnails. There’s one trial per shop. Refreshing or reinstalling the app doesn’t restart it. You don’t need a payment card or a paid subscription to start, and the trial doesn’t convert to a paid plan automatically.

When the trial ends, AI suggestions and uploads stop, and there’s no charge. If you choose a paid plan, your saved listings, workflows and settings carry over. If you don’t, you have a 14-day grace period to subscribe or download your images. We show a notice in the app and email your confirmed contact address about 3 days before deletion. After the grace period, your trial images, listings, drafts, brand voice and settings may be deleted, as described in our app privacy policy. Products already created in Shopify stay in your shop.

6. Plans, prices and AI credits

Plans apply per Shopify shop. Prices are in US dollars, before applicable taxes:

Annual prices include a 10% discount compared with paying monthly. Included monthly credits reset at the start of each monthly credit period on every paid plan, including annual plans, and unused included credits don’t roll over. If you cancel, your included credits stay usable until the cancellation takes effect at the end of the billing period, and they become unavailable when your access ends. Included credits are always used before any purchased credits. Paid plans are free on Shopify development stores, for building and testing only.

One image inspection or one copy-generation request uses 1 AI credit. A listing typically uses about 2. If a request fails, any credit reserved for it is released. Repeating a successful request uses another credit. Writing, editing and reviewing by hand don’t use credits.

App charges are billed by Shopify and appear on your Shopify bill. The plan, billing interval, price, taxes and allowances shown on Shopify’s approval page govern your purchase. Your Shopify store plan is separate.

7. Renewal and cancellation

Subscriptions renew automatically at the end of each monthly or annual billing period until you cancel. You can cancel at any time in the app’s plan settings, and your plan then stays active until the end of the period you’ve paid for. Uninstalling the app ends your subscription straight away. Review the app’s confirmation screen before changing a plan or adding recurring storage.

8. Storage and keeping your work

Working cloud storage is temporary and has plan limits. The app shows your storage allowance and expiry dates. On paid plans, working images are kept for 60 days from upload, or longer if you add extra storage. If your subscription ends, you have 30 days to download your images before they’re deleted. Trial storage lasts for the 7-day trial, followed by the grace period in section 5.

Extra storage is an optional recurring add-on, offered in the app when you need more space. It costs US$10 per 10 GB a month, before applicable taxes, and is billed through Shopify. The price and interval shown on Shopify’s approval page apply. If you cancel it, the paid capacity stays available until the end of its billing period. You then have 30 days to download affected files or restore capacity before excess working copies are deleted. We’ll remind you in advance. Don’t use Atelier Ready as the only archive of your artwork.

9. Privacy and data

Our app privacy policy explains what information we process, which providers we use, how long we keep information and your rights. Where your content includes personal data, we process it only on your instructions and to provide the service, keep it confidential and secure, use the providers named in the privacy policy, and delete it as the policy describes. The data processing terms in the Annex form part of these terms.

For support, email us with your shop address and a description of the issue. Don’t send passwords or access tokens.

10. Availability and changes to the service

The service depends on Shopify, hosting and AI providers. Maintenance, outages and provider limits can interrupt features. We provide the service with reasonable care and skill, but we don’t guarantee uninterrupted operation or any particular increase in sales.

We’ll give at least 30 days’ notice of planned material changes to prices or these terms, in the app or by email to your shop’s contact address. You can cancel before the changes take effect. Urgent security or legal reasons may need shorter notice. Price changes are also subject to any approval Shopify requires.

11. Suspension and ending service

If we end the service for ordinary business reasons, we’ll give you at least 30 days’ notice and a chance to download your data in that time. Serious misuse or an immediate security threat may require immediate suspension. Where we can, subject to legal and security constraints, we’ll explain why and give you a way to ask for a review.

12. Charges and refunds

If you think a charge is wrong, email support@atelierready.com with your shop address and the charge details. Don’t send payment card information.

We review refund requests individually, taking account of the circumstances and any rights you have. We correct duplicate or incorrect charges, and we refund where the law requires. Cancelling a subscription or leaving credits unused doesn’t, on its own, entitle you to a refund.

13. Liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that can’t be limited or excluded by law.

Subject to that, we aren’t liable for any loss of profits, sales, business, revenue, goodwill or anticipated savings, for any loss or corruption of data (beyond restoring it from available backups where we can), or for any indirect or consequential loss, whether arising in contract, tort (including negligence) or otherwise.

Subject to the first paragraph, our total liability to you arising under or in connection with these terms, in any 12-month period, is limited to the greater of the fees you paid us for the service in the 12 months before the event giving rise to the claim and US$100.

You are responsible for the content you upload and the listings you publish. If a third party brings a claim against us because content you supplied infringes their rights or is unlawful, you’ll reimburse our reasonable losses and costs arising from that claim, provided we tell you about it promptly and let you take part in its defence.

14. Law and disputes

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. This doesn’t remove any mandatory protection that applies where your business is based. Please contact us first, so we can try to resolve any problem informally.

15. Changes to these terms

We’ll date each revision and give notice of material changes as set out in section 10.

16. General

Our app. We own the app, its software and its design. Apart from the right to use the service under these terms, nothing transfers to you.

Events outside our control. We aren’t responsible for delays or failures caused by events outside our reasonable control, including outages at Shopify, hosting or AI providers. We’ll tell you and do what we reasonably can to limit the effect.

Transfer. We may transfer our rights and obligations under these terms to another organisation, and we’ll tell you if we do. Your rights won’t be reduced as a result.

Whole agreement. These terms, the Annex and our app privacy policy are the whole agreement between you and us about the service. Shopify’s terms govern your relationship with Shopify.

Other. If a court finds part of these terms invalid, the rest stays in force. If we don’t enforce a right straight away, we can still enforce it later. Nobody other than you and us has rights under these terms.

Notices. We’ll send notices in the app or to your shop’s contact email. Send notices to us at support@atelierready.com.

Annex: data processing terms

This Annex applies where we process personal data on your behalf while providing the service. It is intended to meet Article 28(3) of the UK GDPR and, where it applies, the EU GDPR. “Controller”, “processor”, “personal data”, “personal data breach” and “data subject” have the meanings given in that legislation.

A1. Roles and details of the processing

  • Roles. You are the controller, and we are your processor, for personal data contained in the content you upload or create in the app. For shop, account, billing, support and service information, we are a separate controller, as our app privacy policy explains.
  • Subject matter and purpose. Providing the service: storing working copies, creating previews, obtaining AI suggestions you request, preparing listings and sending reviewed drafts to your Shopify shop.
  • Nature of the processing. Collection, storage, organisation, adaptation, retrieval, transmission to the sub-processors below and to your Shopify shop, and erasure.
  • Duration. For as long as you use the service, then until deletion under the retention periods in our app privacy policy.
  • Types of personal data. Any personal data in your images, filenames, alt text, titles, descriptions and other listing content, such as names, likenesses or other details of artists, models or other people. The service isn’t designed for special category data, and you shouldn’t upload it.
  • Data subjects. People identified or identifiable in your content.

A2. Our obligations

  • Instructions. We process the personal data only on your documented instructions, which are these terms and the actions you take in the app, unless the law requires otherwise. If so, we’ll tell you first unless the law prevents it. We’ll tell you if we think an instruction breaks data protection law.
  • Confidentiality. Everyone we authorise to process the personal data is bound by confidentiality.
  • Security. We maintain appropriate technical and organisational measures, including private storage, encryption in transit and at rest, access controls and checks that each request comes from the right shop.
  • Sub-processors. You authorise us to use these sub-processors: Microsoft Azure (hosting, database, image storage and logs, UK South region; service email through Azure Communication Services, Europe), OpenAI (AI suggestions you request, United States) and Shopify (receiving the drafts and images you choose to send). If you email us, Apple (iCloud Mail) handles those messages. We’ll give you at least 30 days’ notice, in the app or by email, before adding or replacing a sub-processor. If you object on reasonable data protection grounds, you can stop using the service and cancel before the change takes effect. We impose data protection obligations on each sub-processor that are equivalent to those in this Annex, and we remain responsible for their performance.
  • International transfers. Where personal data is transferred outside the UK or the European Economic Area, we rely on an adequacy decision or regulation, the UK International Data Transfer Addendum, the EU Standard Contractual Clauses, or the UK Extension to the EU–US Data Privacy Framework where the recipient is certified.
  • Assistance. Taking into account the nature of the processing, we’ll help you respond to data subject requests and meet your obligations on security, breach notification, data protection impact assessments and prior consultation. If a data subject contacts us directly about your content, we’ll pass the request to you.
  • Personal data breaches. We’ll notify you without undue delay, and where feasible within 48 hours, after becoming aware of a personal data breach affecting your personal data. We’ll give you the information you reasonably need to meet your own obligations.
  • Deletion. When the service ends, we delete the personal data under the retention periods in our app privacy policy, including after Shopify’s shop-deletion request, unless the law requires us to keep it. You can download your images in the app before then. Encrypted backups expire on their normal cycles.
  • Audit and information. We’ll make available the information you reasonably need to show compliance with this Annex. We’ll also allow audits by you or an auditor you appoint, at your cost, on at least 30 days’ notice, no more than once a year (unless a regulator requires it or a breach has occurred), and subject to reasonable confidentiality and security conditions. We may meet an audit request with up-to-date documentation where it reasonably answers your questions.

A3. Your obligations

You’re responsible for having a lawful basis for the personal data in your content, and for giving any notices that data subjects need.
